Scottish Sunday: NTL and Virgin Mobile Merger

Integration of Telewest to be Prioritized

Cable TV operator NTL has announced that it will take at least a year before merging its business with Virgin Mobile. The companies, who recently recommended a £962 million merger to shareholders, will operate independently for the coming year. NTL spokesperson stated that the first 12 months will focus on integrating Telewest, followed by the integration of the newly merged Telewest with Virgin Mobile.

A New Kind of Communications Company

The merger between NTL and Virgin Mobile aims to establish a unique communications company that offers a "quadruple play" of services, including mobile and fixed line phone calls, television, and internet connections. By cross-selling to existing customers, the companies hope to generate revenue benefits and cost savings from the merger itself.

Implications of the Merger

NTL will acquire Virgin Mobile for a proposed price of £962 million. Virgin Mobile, although not a network operator itself, resells minutes on Deutsche Telekom's T-Mobile network and has 4.3 million pre-paid mobile phone customers. Richard Branson, who owns 71% of Virgin Mobile, will become the combined company's largest shareholder with a 10.6% stake.

Rebranding and Customer Service

Following the merger, NTL's services will be rebranded as Virgin services. However, concerns have been raised about NTL's negative customer service reputation. Industry experts suggest that migrating Virgin Mobile's customer service into NTL will be crucial for the success of the new brand. NTL has acknowledged the importance of improving customer service but confirmed that this aspect will not be addressed until after the completion of the Telewest merger process.

NTL's History and Strategy

NTL faced difficulties and accumulated massive debts after expanding its cable network across Britain and Ireland. After undergoing debt restructuring, the company made notable acquisitions such as the purchase of cable rival Telewest. The quadruple play strategy is viewed as NTL's attempt to generate cross-selling revenues and compete with Sky on equal terms, especially in the face of Sky's expansion into telecoms services.
